Investing in PlayersTV through Regulation Crowdfunding

PlayersTV Digital is raising capital under Regulation Crowdfunding (Reg CF), a set of SEC rules that lets everyday investors buy a stake in early-stage companies. Before you invest, it is important to understand how this works and the risks involved.

When you invest, you are buying securities in PlayersTV Digital, a piece of the company, not a product, perk, or pre-order. As a private-company shareholder, you should understand:

PlayersTV Digital shares are not publicly traded. There is no stock exchange where you can sell them. Under SEC rules, securities bought in a Reg CF offering generally cannot be resold for one year after they are issued. During that first year, you may only transfer them:

Even after the one-year period, there may be no market to sell into. You should be prepared to hold this investment for an indefinite period, potentially 5 to 10 years or longer, and possibly forever. A return, if any, typically only happens if the company is acquired or goes public, and many companies never do.

4. Your rights: canceling your investment

You can cancel your investment commitment for any reason up until 48 hours before the offering deadline. If you cancel in that window and your funds are already in escrow, they will be promptly returned to you. Once the offering is within 48 hours of closing, you can no longer cancel.

If there is a material change to the offering, you will be asked to reconfirm your commitment. If you do not reconfirm within five business days of being notified, your commitment will be canceled and your funds returned. To request a cancellation, email info@dealmakersecurities.com.

Accredited investors can invest without limit. If you are not an accredited investor, the SEC limits how much you can invest across all Reg CF offerings in any 12-month period, based on your annual income and net worth:

These thresholds are periodically adjusted for inflation by the SEC. Entities (such as LLCs or trusts) calculate their limit based on revenue and net assets rather than income and net worth. To estimate your net worth, add your assets and subtract your liabilities, excluding the value of your primary residence. DealMaker will confirm the limit that applies to you at the time you invest.

6. Staying informed after you invest

After the offering closes, the company is required to file an annual report with the SEC and post it on its website, including financial statements, generally within 120 days after its fiscal year-end.

Under SEC rules, this annual reporting can eventually end (for example, if the company meets certain conditions). If that happens, you may not continue to receive current financial information about the company. Also note that DealMaker Securities may not have an ongoing relationship with PlayersTV after this offering ends, so do not rely on the platform as a continuing source of company updates.
